terms
How PrivéRide works, for this pilot.
Effective October 15, 2026. Legal entity name and street address are still being finalized with the founder and an attorney. Until a different governing law is published on the terms page, New York law is the pilot default, and the liability, risk, indemnity, and arbitration rules there apply now.
https://prive-ride.com/terms
These terms are the contract for the invite-only PrivéRide pilot. By creating an account or using the app, as a rider or as a driver, you agree to them. They are effective October 15, 2026. The protections below are the pilot rules until a later version replaces them. The privacy page is part of these terms.
This is a pilot
You join through a driver’s invitation. There is no public marketplace and no open driver discovery.
The service is provided as is and as available. Features may change, pause, or be withdrawn. We do not guarantee that the app will be up, that a request will be accepted, that navigation or Co-pilot will be right, that CarPlay will connect, or that a driver will be free.
You must be 18
You must be at least 18 years old to create an account or to request or accept a ride. You must give accurate account information. One person, one account.
If we learn an account belongs to someone under 18, we will close it and delete the personal information.
Your account
You are responsible for your sign-in. Tell us promptly if you believe someone else used it.
You can take a copy of what we hold from Account → Your data, and you can delete the account at any time: Account → Delete my account. Deletion is permanent. What deletion removes, and what operational record it leaves behind without your name, is on the privacy page.
A platform, not a carrier, and not an employer
PrivéRide is booking, messaging, navigation, and payment software. It connects a rider with an independent driver the rider already has a relationship with. PrivéRide is not a transportation provider, not a carrier, and not a common carrier.
The driver is an independent contractor. A driver is not an employee, partner, joint venturer, or agent of PrivéRide. We do not control how a driver drives, which vehicle they use, or whether they accept a request. Nothing in the app creates an employment relationship, a wage, or a benefit.
The ride is an arrangement between the rider and the driver. PrivéRide is not a party to that arrangement except as the software that recorded it and, when a card is used, the software that sent the charge to our payment processor.
The driver is responsible for the license, registration, and insurance their work requires. PrivéRide does not insure the vehicle, the driver, or the rider for a ride unless a written policy we publish later says so. The precise regulatory label for this software is still being confirmed with counsel. That confirmation does not make PrivéRide the carrier, and it does not make a driver an employee.
The risk you accept
A ride involves inherent risk. Traffic, weather, road conditions, other people, mechanical failure, delay, and collision can cause injury, death, or damage to property. You accept those risks when you request a ride, accept one, get in the car, or drive it.
Co-pilot, the map, and CarPlay are aids. They can be wrong. You remain responsible for watching the road and for deciding whether to drive or to ride.
Cancellation and no-shows
Requests, acceptances, status, and cancellations happen in the app so both sides see the same state. You may cancel in the app. The other person is told.
A cancellation before the driver has started toward you, and before any fee the app shows for that moment, does not incur a cancellation fee.
A late cancellation, after the driver has started toward the pickup or inside any window the app shows, and a no-show at the curb may incur a fee. The fee is the amount shown in the app for that ride: the platform rule displayed before you confirm or cancel, or the fee your driver sets and the app displays. You agree to pay a fee that was shown, by card through our payment processor.
If the app shows no fee for that ride, none is taken automatically. We may later show a number in the app; until a number is shown, the pilot does not invent one. Repeated late cancellations or no-shows may still pause or close the account.
The driver may treat a rider as a no-show after waiting at the pickup. Any free-wait time the app shows is the time that applies. A driver who cancels before the ride begins is not owed a cancellation fee by the rider for that cancellation. If a card was already charged for a ride that does not happen, write to us; any return is case by case, as the payments section describes.
Payments
The fare is agreed in the app between rider and driver.
When the app offers a card, the charge runs through our payment processor, including Apple Pay where the app shows it. The card number is collected by that processor. PrivéRide does not store full card numbers on its own servers. Payment and trip data are processed by service providers under contract. You authorize PrivéRide and that processor to charge the agreed fare, and any cancellation or no-show fee the app showed, to the payment method on the ride.
Driver payouts use our payment processor. When the driver’s connected account can receive transfers, a card charge may be split so the driver’s share is paid to that account and PrivéRide retains the platform portion the product applies. Bank details stay with that processor. If the payout account is not ready, the charge may stay with the platform until payouts are reported as enabled. Payout timing is the schedule the app shows, not a guaranteed weekday.
Refunds are case by case. Nothing is refunded automatically. Email us with the ride and what happened. If we agree a card charge should be returned, it goes back through our payment processor to the original payment method.
You are responsible for taxes on amounts you receive. A driver is responsible for their own taxes on payouts. PrivéRide does not withhold wages, because a driver is not an employee.
Acceptable use
Do not harass, threaten, stalk, or abuse anyone through the app. Do not use it for anything unlawful or unsafe, including asking a driver to break traffic law or to carry something illegal.
Do not access another person’s account, bookings, or messages. Do not probe, disrupt, scrape, or overload the service, or bypass access controls. Do not share an invitation with someone the driver has not agreed to serve. Do not create bookings you do not intend to take. Do not misrepresent who you are.
Messaging is for coordinating a ride. Keep it to that. Messages are stored. Where safety or abuse requires it, staff may read them.
We may disable an account that breaks these rules. That action is audited. We will tell you why unless safety or law prevents it. You can contest it by email.
Safety
If you are in immediate danger, call 911, or the emergency number where you are. Use the phone’s own dialer. Do not wait for the app, a dispatcher, or an email reply. The app is not an emergency service. We do not answer 911, and we do not send police, an ambulance, or a tow.
Sentinel, on a booked ride, can tell a PrivéRide dispatcher that you feel uneasy or need assistance. That notice does not call 911, does not tell your driver, and does not contact emergency services. A dispatcher is a person at PrivéRide, not a 911 operator.
A control labeled Emergency assistance places a call to 911 from your phone. PrivéRide is not told automatically that you placed it.
You may store one emergency contact. A dispatcher can see it only while something on your ride is open, and that look is recorded. Sentinel does not call that person for you.
For a non-emergency safety concern, email us with SAFETY in the subject. Those notes are read first. The support page repeats this.
Privacy, retention, and deletion
What we collect, who sees it, how long driver location is kept, and how deletion works are on the privacy page. That page is part of these terms. Read it before you rely on the app with a real address or a real fare.
Limits on our liability
To the fullest extent permitted by law, PrivéRide, its owners, and the people who operate the pilot are not liable for a driver’s conduct, the manner of driving, a missed pickup, a route choice, an accident, an injury, a death, or damage to property during a ride, or for a driver’s acts or omissions.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or emotional distress, even if we were told they were possible.
Where the law allows a cap and does not let us disclaim liability entirely, our total liability for a claim about the software, not about the transportation itself, is limited to the greater of one hundred U.S. dollars (US 00) or the platform fees you paid to PrivéRide in the three months before the claim. Money paid to a driver as a fare is not a payment to PrivéRide for this cap.
Some liability cannot be waived. Those claims remain only to the extent the law requires, and they do not expand any limit the law does allow. Claims for injury or property damage arising from a ride are claims about the transportation the independent driver provides.
You cover claims that come from you
To the fullest extent permitted by law, you will defend and indemnify PrivéRide, its owners, and its staff against any claim, demand, loss, damage, liability, and reasonable attorneys’ fees arising out of your use of the service, a ride you requested or drove, content you submitted, your breach of these terms, or your violation of law or of someone else’s rights.
This covers riders and drivers. We may take control of the defense of a claim that this section covers, and you will cooperate. You will not settle a claim that admits fault by PrivéRide, or that imposes an obligation on PrivéRide, without our written agreement.
Disputes go to individual arbitration
Except for a claim the law says cannot be arbitrated, and except for a request for a temporary restraining order to stop misuse of the service or of an account, you and PrivéRide agree that any dispute arising out of these terms, the privacy page, the app, a payout, or a ride arranged through the app will be resolved by binding individual arbitration. That includes a dispute about whether this section applies.
The arbitration is administered by the American Arbitration Association. Consumer Arbitration Rules apply if you are using the app as a consumer; otherwise the Commercial Arbitration Rules apply. It is held in New York County, New York, or by telephone or video if the rules allow. The arbitrator may award individual relief a court could award that party, and may not award relief to anyone who is not a named party.
Class action waiver. You and PrivéRide waive any right to a class action, a class arbitration, a collective action, a private attorney-general action, or any other representative proceeding, to the fullest extent permitted by law. No one may consolidate your claim with another person’s. If a court finds that a particular representative claim cannot be waived, that claim alone may proceed in court, and every other part of this section still applies.
Where a claim is heard in court, you and PrivéRide waive a jury, to the fullest extent permitted by law.
You may opt out of arbitration only by emailing us within 30 days of creating your account, from the email on the account, with the subject ARBITRATION OPT OUT. Opting out does not opt you out of the class waiver. If you opt out, or if this section does not apply to a claim, the exclusive venue is the state or federal courts in New York County, New York, and you consent to jurisdiction there.
To the fullest extent permitted by law, a claim must be filed within one year after it arose, or it is barred.
If we suspend an account
We may disable an account that we reasonably believe is abusive, fraudulent, unsafe, or in breach of these terms. Access stops immediately. The action is written to the audit log, and push to that account’s devices stops.
You may stop using PrivéRide and delete your account at any time, subject to the driver-handoff rule on the privacy page.
Changes, governing law, and how to reach us
If we change these terms in a way that matters, we will tell you in the app or by email before the change takes effect. Continuing to use PrivéRide after that date means you accept the update. Where the law requires a clearer yes, we will ask for it.
Until counsel publishes a different choice on this page, these terms are governed by the laws of the State of New York, excluding conflict-of-law rules. The legal entity’s name and street address are not final. When they are published here, they apply from that date, and a later governing-law sentence published here replaces the New York default from the date it is posted. The liability, risk, indemnity, and arbitration rules above are in force during the pilot. They are not waiting on that publication.
If a sentence here is held invalid, the rest stays in effect, and that sentence is read as narrowly as needed to keep it valid while preserving the protection it was written to give.
